Terms of Service

Welcome to Spatial (spatialid.ai), an AI-powered interior design tool operated by Bowling Inc, an S-Corp (“Company,” “we,” “us,” or “our”), operating as Spatial.

These Terms of Service (“Terms”) govern your access to and use of the Spatial application, website, and related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Your continued use of Spatial after any changes to these Terms constitutes your acceptance of the revised Terms.

1. Acceptance of Terms

By accessing or using Spatial, you confirm that you are at least 13 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You also agree to our Privacy Policy, which describes how we collect, use, and protect your information.

2. Account Responsibilities

To use Spatial, you must create an account using Apple Sign-In or Google Sign-In (powered by Clerk). You are responsible for:

• Maintaining the security of your account credentials and sign-in methods
• All activity that occurs under your account
• Notifying us immediately if you suspect unauthorized access to your account

You may not share your account with others, create multiple accounts to circumvent usage limits, or use another person’s account without permission.

3. AI-Generated Content

Spatial uses artificial intelligence services — including OpenAI, Google Gemini, and Anthropic Claude — to generate design transforms, suggestions, and analysis. You acknowledge and agree that:

• AI outputs are suggestions, not professional design advice. They should not be treated as a substitute for consultation with a licensed interior designer, architect, or contractor.
• No guarantee of accuracy. AI-generated images and recommendations may contain errors, inaccuracies, or artifacts. We do not guarantee that any AI output will be accurate, complete, suitable for your space, or achievable in practice.
• Results may vary. The same inputs may produce different outputs across requests due to the nature of generative AI models.
• Not structural or safety advice. AI-generated designs do not account for building codes, structural integrity, electrical or plumbing requirements, or safety regulations. Always consult qualified professionals before making physical changes to your space.

We are not liable for any decisions, purchases, or actions you take based on AI-generated content.

4. Intellectual Property

The Spatial name, logo, brand identity, user interface, software, algorithms, and all associated content are the property of Bowling Inc and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.

The Object Library may include items uploaded by third-party designers and brands. These items remain the intellectual property of their respective owners and are displayed for design inspiration and visualization purposes only.

5. User Content & Uploads

Ownership. You retain ownership of the photos, images, and other content you upload to Spatial (“User Content”). We do not claim ownership of your User Content.

License grant. By uploading content to Spatial, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, transmit, and display your User Content solely for the purpose of providing and improving the Service. This includes sending your images to third-party AI providers for processing. This license terminates when you delete your content or account, except as required for backups or legal obligations.

AI-generated outputs. Subject to these Terms and the terms of the underlying AI providers, you may use AI-generated design transforms created from your content for personal and commercial purposes.

Shared content. When you create a shared space page (public URL), the associated images and design metadata become accessible to anyone with the link. You are responsible for ensuring you have the right to share any content you make public.

Representations. You represent and warrant that you own or have the necessary rights to upload your content, and that your content does not infringe on the rights of any third party.

6. Subscriptions & Billing

Spatial offers a free tier of 10 transforms upon signup, paid subscription plans, and credit packs. Key billing terms:

• Free transforms. New accounts receive 10 free transforms. These do not expire but are non-transferable.
• Subscriptions. Paid plans (such as the Founders plan at $10/month) are billed monthly through Stripe. Your subscription renews automatically unless canceled before the end of the billing period.
• Credit packs. Additional transform credits may be purchased as one-time credit packs. Purchased credits do not expire and are non-refundable.
• Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No prorated refunds are provided for partial billing periods.
• Price changes. We may change subscription pricing with at least 30 days’ notice. Continued use after a price change constitutes acceptance of the new pricing.
• Payment processing. All payments are processed by Stripe. By subscribing, you also agree to Stripe’s terms and conditions.

7. Prohibited Uses

You agree not to use the Service to:

• Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Upload photos of spaces you do not own or have permission to photograph
• Generate content that depicts illegal activities, violence, or explicit material
• Attempt to reverse-engineer, decompile, or extract the source code or AI models of the Service
• Use automated tools, bots, or scrapers to access the Service or extract data
• Circumvent usage limits, credit metering, or access controls
• Resell, redistribute, or commercially exploit the Service itself
• Impersonate another person or entity
• Interfere with or disrupt the Service, servers, or connected networks
• Use the Service in any way that violates applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these prohibitions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOWLING INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Indemnification

You agree to indemnify, defend, and hold harmless Bowling Inc and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of a third party
• Any decisions or actions taken based on AI-generated content

10. Termination

You may terminate your account at any time by contacting us at [email protected] or through your account settings.

We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for conduct that we determine violates these Terms, is harmful to other users or the Service, or for any other reason.

Upon termination, your right to use the Service ceases immediately. We may delete your account data within 30 days of termination. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Dispute Resolution) shall survive.

11. Dispute Resolution

Informal resolution. Before filing any formal legal action, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Governing law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Jurisdiction. Any disputes not resolved informally shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

Class action waiver. You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action, collective action, or representative proceeding.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will update the effective date at the top of this page and may notify you through the Service. Your continued use of Spatial after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

13. General Provisions

• Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Bowling Inc regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
